1. Acceptance of Terms
By accessing and using STRUO ("the Platform"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you should not use the Platform. STRUO reserves the right to modify these terms at any time, and continued use of the Platform constitutes acceptance of the modified terms.
2. Service Description
STRUO is a SaaS customer relationship management (CRM) platform designed specifically for construction companies and real estate developers. The Platform offers tools for:
- Project and opportunity management
- Contact and CRM administration
- Materials and budget management
- Team tracking and payroll
- Document generation with AI (ARIA)
- Financial management and invoicing
3. Account Registration
To use STRUO, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your access credentials
- Notifying us immediately of any unauthorized account use
- Accepting all responsibility for activity under your account
- Providing valid billing information for paid subscriptions
You agree not to create multiple accounts to circumvent subscription limits or terms of service.
4. Subscription and Billing
Subscription Plans: STRUO offers several subscription plans with different features and pricing. Specific details are available on the website. You can change plans at any time; changes take effect in your next billing cycle.
Payments and Processing: Payments are processed through Stripe. By providing payment information, you authorize STRUO and Stripe to process periodic payments according to your selected plan. Payment information is handled in accordance with Stripe's privacy policy.
Billing Cycle: Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected). You are responsible for providing valid and current payment information.
Price Changes: STRUO reserves the right to change subscription prices. We will notify you 30 days in advance of significant price increases. If you don't accept the new price, you can cancel your subscription.
5. Prohibited Uses
You agree not to use STRUO for:
- Illegal activities or activities violating local, state, or international laws
- Harassment, abuse, threats, or defamation of other users
- Distribution of malware, viruses, or malicious code
- Attempts at unauthorized system or data access
- Identity impersonation or information falsification
- Violation of third-party intellectual property rights
- Obscene, pornographic, or minor-related content
- Spam, unsolicited advertising, or pyramid schemes
- Uploading customer data without informed consent
- Reverse engineering or attempting to decompile Platform code
STRUO reserves the right to suspend or cancel accounts that violate these provisions.
6. Intellectual Property
STRUO, including all its code, interfaces, content, features, functionality, and design, is the property of STRUO and is protected by copyright, trademarks, and other intellectual property laws.
Your license to use STRUO is personal, non-transferable, and automatically terminates if you violate these terms. You cannot:
- Reproduce, copy, or distribute STRUO without permission
- Modify, translate, or create derivative works
- Sell, transfer, or assign access rights to others
Data you upload to STRUO (projects, contacts, documents) remains your property. You grant us a limited license to use that data solely for providing and improving the Platform.
7. Limitation of Liability
DISCLAIMER OF WARRANTIES: STRUO is provided "AS IS" and "AS AVAILABLE". STRUO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION OF DAMAGES: To the maximum extent permitted by law, STRUO is not liable for:
- Indirect, special, incidental, consequential, or punitive damages
- Loss of data, revenue, profits, or customers
- Damages from service interruption or equipment failure
Your total liability against STRUO shall not exceed the amount you paid in the last 12 months.
8. Service Availability
STRUO endeavors to maintain high availability, but does not guarantee uninterrupted service. The Platform may be subject to:
- Scheduled maintenance and updates
- Outages beyond STRUO's control (internet problems, power failures)
- Unforeseen security or technical interruptions
STRUO will notify you of important maintenance in advance when possible. We are not responsible for damages resulting from service interruptions.
9. Service Modifications
STRUO reserves the right to modify, suspend, or discontinue (temporarily or permanently) any part of the Platform. While we strive to notify you of significant changes, we may make changes without prior notice in cases of technical emergency.
We are not responsible for impacts resulting from changes to STRUO, provided we do not violate applicable consumer rights.
10. Applicable Law and Jurisdiction
These Terms of Service are governed by the laws of Mexico, without regard to its conflict of law provisions. Any litigation, dispute, or claim related to STRUO shall be conducted exclusively in the competent courts of Mexico.
However, STRUO respects all applicable laws, including Brazil's LGPD for Brazilian users.
11. Dispute Resolution
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through direct negotiation. If a solution is not reached within 30 days, either party may proceed with legal action.
By using STRUO, you agree to resolve any dispute solely through individual proceedings, not in class actions or class arbitration.
12. Subscription Cancellation
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partially used billing periods, except as required by applicable law.
Upon cancellation, your data is retained in accordance with our Privacy Policy. You will have access to a data export function before permanent deletion.
13. Indemnification
You agree to indemnify, defend, and hold harmless STRUO, its directors, employees, and agents from any claim, loss, damage, or liability (including legal fees) resulting from: (a) your violation of these Terms; (b) your use of STRUO; or (c) your violation of third-party rights.

15. Final Provisions
If any provision of these Terms is invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if impossible, will be eliminated without affecting the rest of the Terms.
These Terms constitute the entire agreement between you and STRUO regarding your use of the Platform and replace all previous agreements.
